Vegas is not really an audio software... From the sony studios, there is soundforge, on the opensource side, there is audacity.
Now the other cold cow... You cannot, ever, make gold out of trash, by this I mean, if you have an mp3 with like 128 or even 192 or rare cases of 320kbps stream rates, converting them into wav, pcm or aac, DOES NOT bring them the lost quality over compression. Period.
However, converting original wav (or any other RAW audio file born that way, eg, cd ripped) into flac, does make a difference, I usually use 320kpbs for high quality mp3 compressed with joint stereo.
